1. Agreement to Terms

By accessing our website at www.closingcode.io or using any services provided by Closing Code ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Description of Services

Closing Code provides lead generation services exclusively for personal injury law firms. Our services include the sourcing, qualification, and delivery of motor vehicle accident (MVA) leads to client law firms via pay-per-lead, per-call, or signed retainer arrangements.

All specific service terms, pricing, exclusivity arrangements, lead volumes, and delivery methods are governed by a separate written agreement or signed retainer between Closing Code and the client law firm.

3. Eligibility

Our services are available to licensed attorneys and law firms operating in compliance with applicable state bar rules and attorney advertising regulations. By engaging our services, you represent that you are authorized to practice law in the jurisdictions in which you operate and that your use of our services complies with all applicable professional conduct rules.

4. Lead Quality and Delivery

Closing Code delivers leads that have been filtered according to agreed-upon intake criteria. While we take reasonable steps to qualify leads prior to delivery, we do not guarantee:

Disputes regarding lead quality must be raised within the timeframe specified in your individual service agreement.

5. TCPA and Legal Compliance

Closing Code maintains state and federal compliance protocols on all lead generation campaigns, including compliance with the Telephone Consumer Protection Act (TCPA) and applicable state attorney advertising rules. All leads delivered have provided prior express written consent to be contacted.

Client law firms are independently responsible for their own compliance with the TCPA, state bar advertising rules, and all other applicable laws when contacting, communicating with, or retaining leads delivered by Closing Code.

6. Exclusivity

Leads delivered under an exclusive arrangement are sold only once and will not be resold or delivered to any competing firm within the agreed geographic market and practice area. Exclusivity terms are defined in your individual service agreement.

7. Payment Terms

Payment terms, billing cycles, and refund eligibility are outlined in your individual service agreement. All fees are non-refundable except as expressly stated in that agreement. Closing Code reserves the right to suspend or terminate service for non-payment.

8. Intellectual Property

All content on this website, including text, graphics, logos, and design, is the property of Closing Code and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content on this site without our prior written consent.

9. Limitation of Liability

To the fullest extent permitted by law, Closing Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to lost profits, lost cases, or business interruption.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the total fees paid by you to Closing Code in the three (3) months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Indemnification

You agree to indemnify, defend, and hold harmless Closing Code and its affiliates, officers, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our services, violation of these Terms, or violation of any applicable law or third-party rights.

12. Termination

Either party may terminate a service engagement in accordance with the terms of the applicable service agreement. Closing Code reserves the right to suspend or terminate access to our website or services at any time for conduct that violates these Terms or is otherwise harmful to our business or other users.

13. Governing Law

These Terms of Service are governed by the laws of the United States and the state in which Closing Code is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the applicable courts of that jurisdiction.

14. Changes to These Terms

We may update these Terms of Service from time to time. When we do, we will revise the "Last Updated" date at the top of this page. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
